1. Introduction and Acceptance

Welcome to Viziq (“Company”, “we”, “our”, or “us”), a company providing AI-powered product visualization services. These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“User”, “you”, “your”) and Viziq governing your access to and use of our websites, mobile applications, software, products, and all related services (collectively, the “Services”).

3.2 License to Viziq

By providing User Content, you grant Viziq a worldwide, royalty-free, non-exclusive, sublicensable license to use, copy, reproduce, modify, adapt, publish, translate, and display such content solely for the purpose of operating and improving the Services. This license terminates when you delete your content or account, except for content that has been shared with others and they have not deleted.

3.3 Content Monitoring

While we have no obligation to monitor User Content, we reserve the right to review, remove, or restrict access to any content at our sole discretion, with or without notice, for any reason including violation of these Terms.

4. Prohibited Conduct and Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are solely responsible for all Content you upload or provide through the Services, and you represent and warrant that your Content and your use of the Services comply with all applicable laws and regulations, and do not infringe on the rights of any third party.

You agree not to upload, submit, or otherwise provide Content, or use the Services in a manner that:

Is illegal, harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, or racially, ethnically, or otherwise objectionable
Infringes any intellectual property rights (including copyright, trademark, patent, trade secret) or other proprietary rights of any third party
Violates the privacy or publicity rights of others
Is intentionally misleading, fraudulent, or deceptive
Contains malware, viruses, worms, Trojan horses, or other malicious code
Constitutes unsolicited or unauthorized advertising, promotional materials, or spam
Attempts to gain unauthorized access to our systems, networks, or other users’ data
Interferes with, disrupts, or burdens the Services or servers connected to the Services
Reverse engineers, decompiles, disassembles, or attempts to derive the source code of any part of the Services
Removes, alters, or obscures any proprietary notices (including copyright and trademark notices) on the Services
Uses the Services to compete with or harm our business

You expressly agree not to use the Viziq service to create, visualize, market, promote, or display Content related to, or in connection with, any products, services, or activities that are illegal or fall into categories typically prohibited by payment processors.

5. Subscription Terms and Billing

5.1 Subscription Plans

Our Services are offered through various subscription plans with different features and usage limits. Current pricing and plan details are available on our website and may be updated from time to time with appropriate notice.

5.2 Billing and Payment

Subscription services are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge your selected payment method for all fees associated with your subscription. You are responsible for maintaining valid payment information.

5.3 Automatic Renewal

Subscriptions automatically renew for successive periods of the same duration unless cancelled before the end of the current billing cycle. You may cancel your subscription at any time through your account settings or by contacting support.

5.4 Refund Policy

Subscription fees are generally non-refundable. All refund requests are subject to and processed in accordance with our comprehensive Refund Policy, which forms part of these Terms.

5.5 Price Changes

You are solely responsible for verifying and validating all AI-generated content
Our visualizations are for illustrative purposes to aid purchasing decisions
We disclaim all liability for decisions made based on AI-generated content

7.3 Service Availability

We strive to maintain high service availability but do not guarantee uninterrupted access to our Services. We may experience downtime for maintenance, updates, or due to factors beyond our control.

8. Termination

8.1 Termination by You

You may terminate your account and stop using our Services at any time by following the cancellation process in your account settings or contacting our support team.

8.2 Termination by Viziq

We may suspend or terminate your access to the Services immediately, without prior notice, if you violate these Terms or engage in conduct that we deem harmful to our Services or other users.

8.3 Effect of Termination

9.2 Limitation of Liability

IN NO EVENT SHALL VIZIQ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

Your violation of any third-party rights

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Jurisdiction

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction of such courts.

For disputes involving claims under $10,000, you agree to resolve disputes through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out by contacting us within 30 days of account creation.
